Job Purpose

We have an exciting opportunity for a creative and pragmatic lawyer to join as Legal for the Business Development Legal Affairs team of Recordati. The Legal Advisor, working collaboratively with colleagues in the Legal function, will assist the Corporate Development, Licensing & Innovation department.
The person will work proactively and in a hands-on way to deliver legal relevant advice in the context of Recordati’s M&A, Licensing and Innovation (VC) transactions. 

 

Key Responsibilities

•    Conduct complex due diligence reviews for the acquisition of companies and/or assets and/or rights both in relation to M&A, Licensing & Innovation (VC) domestic and cross-border transactions
•    Draft and assist in the negotiation of complex M&A, Licensing & Innovation (VC) domestic and cross-border transactions
•    Draft and negotiate several contracts also including confidentiality agreements and service agreements
•    Provide legal advice on general corporate and commercial law matters
 

Required Education

Master’s Degree in Law and qualified in to practice law in Italy (or other jurisdiction) 

Required Skills and Experience

•    At least 6 years of high quality post-qualification experience, a large portion of which will ideally have been spent in a comparable in-house role and/or top law firms 
•    Substantial and demonstrable experience of working on complex legal transactions, operating in a multi-jurisdictional environment and managing stakeholders at all levels of seniority (pharmaceutical or life sciences related experience would be considered a plus)
•    Excellent drafting, negotiation, and communication skills
•    Solutions oriented and pragmatic mindset 
•    Prepared to stand behind legal advice while remaining flexible and open to others’ views 
•    Appetite for learning and mastering new legal issues quickly and manage a diverse, changing workload 
•    A team player, with high integrity, a strong work ethic and a commitment towards creating a collaborative team culture and helping the business to drive its focus in a compliant, responsible and entrepreneurial way

Required Behaviours and Competencies

As a key team member, this individual must be a highly motivated self-starter who is comfortable both collaborating as part of a larger team and working proactively and independently to provide support for a complex, fast-moving business. The ability to deliver clear, concise, and actionable legal advice is essential.
